Regular maintenance the minute book (or corporate book) is a vital part of managing a company. Each year, an annual update of the book is required, during which the necessary annual resolutions are drafted. In addition to recording major decisions made at shareholders’ and directors’ meetings, this process ensures that the register’s information remains current and that mandatory annual resolutions are properly documented. Furthermore, during this process, the required filings are submitted on time to the Quebec Enterprise Registrar (REQ) and/or Corporations Canada, thereby avoiding potential penalties or even dissolution of the company in case of non-compliance.
